Jupiter Investor Topco

UK Tax Strategy

Financial Year ending 31 December 2025

This statement has been approved by the Board of Directors (‘the Board’) of Jupiter Investor Topco Limited.

Introduction

The Jupiter Group (‘the Group’) is a joint venture partner in the Hornsea wind farm development and receives income from its share of the revenue of the wind farm power generated by the development. This strategy applies to all UK companies within the Group*.

Approach to Tax Compliance

We comply with tax law and practice in all the territories in which we operate. Compliance for us means paying the right amount of tax and involves disclosing all relevant facts and circumstances to the tax authorities and claiming reliefs and incentives where available.

Attitude towards tax planning

We manage our tax affairs to support the business and will enter into tax planning where it contributes to the achievement of its strategic goals. We seek to apply tax incentives and exemptions in the manner in which they are intended. The Group ensures that any tax positions adopted will:

  • preserve the commercial purpose of intended transactions and not be structured in a way such that the tax results are inconsistent with the underlying economic consequences;

  • be consistent with our understanding of the intentions of the legislators; and

  • be overseen by the Board

Attitude Towards Risk

We actively seek to identify, monitor, and manage its tax risks. Where applicable laws and regulations are subject to interpretation, giving rise to inevitable complexity and uncertainty, we seek appropriate assurance regarding the position taken from reputable third-party advisers.  The Board is ultimately accountable for the management of tax risk within the Group.

Approach to dealing with tax authorities

We approach all communications with HMRC in an open and transparent manner, consistent with our aim to ensure timely tax compliance, filing accurate returns, and complying with applicable disclosure requirements.

This tax strategy is in accordance with the requirements set out under paragraph 16(2) of Schedule 19 of the Finance Act 2016 to publish a group tax strategy.
